Dix Cobra BEC

Client: The Dix Corporation grew from its roots as a steel fabricator to become a specialty contractor with particular expertise in equipment placement in hazardous or difficult environments. Cobra BEC was formed in the mid-80's to focus on the sale and installation of metal products for commercial, architectural and structural applications. Both companies were owned 50/50 by brothers Pat and Peter Dix. Each had two sons who were actively involved in the businesses.

Challenge: For most of three decades, the brothers each held fifty percent of the respective companies which, by 2010, had grown to equivalent size. Since their sons were now taking on increased responsibilities, they wished to consolidate the ownerships along family lines.

Process: : Crafting a mutually agreeable transaction required third-party valuations and creative structuring. Reconciling the views of the third generation was a challenge but reducing the issues to economics kept the emotions in check and paved the way for agreement.

Outcome: Dix Corporation and Cobra BEC were separated along family lines the Pat Dix family owning one-hundred percent of Dix Corporation and the Peter Dix family owning one-hundred percent of Cobra BEC. This division paved the way for ownership transition and extension of the Dix legacy to the third generation.
